Host Agreement

This Host Agreement ("Agreement") is entered into between Zen Derma Studios ("TRAINER"), located at 15708 Pomerado Road Suite N209, Poway, CA 92064, and the ("Host") participating in the Permanent Makeup and/or UNDO removal training.

Training Scope and Responsibilities:

1.1 Trainer shall be responsible for preparing and bringing all necessary supplies required for the training and treatment of registered students.

1.2 Host shall provide necessary equipment such as table and seating for the theory/practical learning portion and treatment beds, trolleys, lights, and stools for each station to ensure a comfortable and functional training environment. Minimum of 3-4 stations may be required based on number of students attending.

1.3 Host shall provide disposables for the stations, including but not limited to gloves, trash bags, disinfectant, and barrier film.

1.4 Host shall assist in arranging models for the training. The number of models and appointment times will be determined based on the group size of the training. The specifics will be determined closer to the training date.

1.5 The selection of model appointment times and the number of models required may vary depending on the size of the class and the specific training needs. Generally, a minimum of four models will be needed for training, consisting of various body parts, including brows and some body tattoo removals. No eyeliner removals will be performed during student training. A variety of models is required for the training.

1.6 Host may charge student models a booking fee for their participation in the training. The booking fee collected by the Host shall be retained by the Host.

1.7 Host shall provide water and light snacks for attendees of the training.

Facility and Accommodation:

2.1 Host agrees to allow the use of their facility for renting during the training.

2.2 The facility provided by the Host shall accommodate the group size comfortably to ensure a successful outcome of the training.

2.3 Host shall not cancel or back out of this agreement within one month of the training date, except in cases of unforeseen circumstances such as natural disasters or extreme weather conditions preventing travel. In the event that the Host cancels or withdraws from the agreement less than one month prior to the training date for reasons other than unforeseen circumstances, the Host shall be responsible for all travel expenses, booked fees, and prepping fees incurred by the Trainer.

2.4 If the Host decides to cancel or withdraw from the agreement due to unforeseen circumstances, the Parties will work together to reschedule the training for a later date.

2.5 This training is conducted as an exchange of knowledge, and there is no money compensation or monetary exchange involved between Trainer and Host. 

Confidentiality:

3.1 Both Parties agree to keep all training-related information and any sensitive or confidential information disclosed during the training confidential.

3.2 The Parties shall not disclose any proprietary or trade secret information shared during the training to any third parties without prior written consent.

3.3 Host shall not publish any pictures, videos, or media of Zen Derma Studios' and UNDO removal procedures or training information on any channels, including social media platforms. Any violation will result in legal responsibility.

3.4 Host shall not slander Trainer's name or training in any form of communication, including but not limited to social media, public events, or private discussions. Any violation will result in legal responsibility.

Governing Law and Jurisdiction:

4.1 This Agreement shall be governed by and construed in accordance with the laws of California.

4.2 Any disputes arising out of or in connection with this Agreement shall be resolved by the exclusive jurisdiction of the courts of California.

Entire Agreement:

5.1 This Agreement contains the entire understanding and agreement between the Parties with respect to the subject matter hereof and supersedes all prior negotiations, understandings, or agreements, whether oral or written, relating to such subject matter.

By signing this Agreement, both parties acknowledge and accept the responsibilities stated above.
